2.Training Precedent
Damocles Solutions Ltd herewith undertakes to offer to the Customer: Hereinafter, the term “Training” shall refer to the training courses. Training Price. The price for the Training (hereinafter “Training Price”) equals the amount indicated in the respective Annex. For the avoidance of doubt, in case more than one course is selected above, the price for the training shall equal the sum of the amounts indicated in the respective Annexes. Payment of the Training Price shall become immediately due, once the Customer and Damocles Solutions Ltd have executed (and exchanged) this agreement (including all Annexes, where applicable). Payment may be made online / telephone with credit or debit card or bank transfer.

3.Conditions Precedent
Damocles Solutions Ltd's obligation to offer the Training to the Customer shall be subject to the following conditions precedent: i) v receipt of the full Training Price pursuant to section 2; ii) Damocles Solutions Ltd receipt of [the safety and training instructions] as set out in Annex 4 to this Agreement, duly signed by the Customer (original required); iii) Damocles Solutions Ltd receipt of a declaration as set out in Annex 5 (including all required attachments thereto) to this Agreement, true and accurate and duly signed by the Customer (original required).4 Cancellation by the Customer a) Prior to the Training The Customer may cancel the Training in advance with or without cause. If cancellation is made 31 days or more prior to the scheduled Training, the Customer shall receive a refund of 100% of the Training Price less expenses [if applicable, Flights, Hotel Cancellation and less Administration fee of 80GBP]. If cancellation is made less than 31 days prior to the scheduled Training, the Customer shall receive a refund of 70% of the Training Price less expenses [if applicable, Flights, Hotel Cancellation and less Administration fee of 80GBP]. Any such refund shall be due any payable to the Customer within 60 days of receipt of the written cancellation notice. b) During the Training The Customer may cancel the Training at any time during the course with or without cause. If cancellation is made with cause (e.g. [Illness, Family Emergency]), the Customer shall be entitled to a refund of [30]% of the Training Price less expenses [if applicable, Flights, Hotel Cancellation and less Administration fee of 80GBP]. If cancellation is made without cause, the Customer shall not be entitled to any refund. If the Customer does not cancel the Training in advance and does not show up for the Training at the place, time and date specified by Damocles Solutions Ltd, the Customer shall not be entitled to any refund, except in case the reason for not showing up would have been with cause. 4.2 Cancellation by Damocles Solutions Ltd a) Prior to the Training may cancel the Training in advance with cause or without cause. If cancellation is made at any time prior to the scheduled Training, the Customer shall receive a refund of 100% of the Training Price. Any such refund shall be due any payable to the Customer within 60 days of the date of the cancellation notice. b) During the Training Damocles Solutions Ltd may cancel the Training during the course with or without cause. If cancellation is made with cause (e.g. [Illness, family Emergency or any unspecified reason]), the Customer shall be entitled to a refund of [70]% of the Training Price less expenses [if applicable, Flights, Hotel Cancellation and less Administration fee of 80GBP]. If cancellation is made without cause, the Customer shall be entitled to a refund of 100% of the Training Price. If Damocles Solutions Ltd. does not cancel the Training in advance and does not show up for the Training at the place, time and date specified by Damocles Solutions Ltd., the Customer shall be entitled to refund of 100% of the Training Price. 4.3 Cancellation Notice Cancellation notice by the Customer or Damocles Solutions Ltd. shall be made in writing. 5 Liability Damocles Solutions Ltd. shall not be liable vis-à-vis the Customer for any damage, claim, demand, or loss resulting from Damocles Solutions Ltd's performance under this Agreement, except to the extent that such damage, claim, demand, or loss is due of the gross negligence or wrongful act(s) of Damocles Solutions Ltd. The Customer shall be fully liable vis-à-vis and hold harmless Damocles Solutions Ltd. for any damage, claim, demand, or loss resulting from the Customer’s performance under this Agreement. Payment by Credit, Debit cards are subject to 3% charge.

4.Applicable Law Forum
This Agreement shall be governed by and construed and enforced in accordance with the substantive laws of Switzerland without regard to the principles of conflicts of laws thereof. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts of Zurich Switzerland. Overseas contracts shall be governed by and construed and enforced in accordance to the Laws of the specified country.

5.Safety and Training Instructions
All Safety Instructions will be obeyed at all time. Weapon state will be unloaded at all times unless otherwise indicated by clear instructions by Staff. You must be aware of your weapons state at all times. Weapon must be Holstered when moving around unless otherwise indicated by clear Instructions by Staff No weapon will go beyond indicated areas unless otherwise indicated by clear Instructions by Staff or be carried on the person outside the facility No drugs or alcohol will be allowed at any time during the course training duration. If you are taking prescription drugs or suffering the effects of alcohol you must inform the Staff before proceeding with the daily Instruction, Staff member will decide at their discretion if you can proceed with Instructional training.

6.Security Policy
Damocles Solutions Ltd maintains a strict security policy regarding whom it trains. Persons who do not fulfil all the requirements stipulated by Swiss law (in particular the Swiss Federal Act on Weapons, Accessories and Ammunition and its implementing Ordinance) will not be allowed to register for courses offered by Edelweiss Tactical - Damocles Solutions Ltd.

6. Confidentiality and Non-Disclosure
Damocles Solutions Ltd maintains a strict non disclosure agreements. Damocles Solutions Ltd will not share any data or information on its Clients, Projects, Civilian or Government, foreign or domestic to any third party.

8.Documents Required From The Customer
The Customer shall bring a copy of the following documents: i) Official identification card; ii) Excerpt of the Customer’s Insurance Policy (if providing own insurance); Confirmations by the Customer Furthermore, the Customer herewith confirms the following to be true and accurate.
